Introduction

Welcome to IQMeals, a product of Unthinkable SRL (CUI: 50281700), a company incorporated in Romania. These Terms and Conditions ("Terms") govern your use of the IQMeals mobile application ("App") and any related services provided by Unthinkable SRL.

By downloading, accessing, or using our App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our App.

Definitions

Throughout these Terms:

• "App" refers to the IQMeals mobile application.
• "You" and "your" refer to you, the user of the App.
• "We," "us," and "our" refer to Unthinkable SRL.
• "Services" refers to all features, functions, and offerings provided through the App.
• "Content" refers to text, images, videos, audio, graphics, and all other forms of data or communication.

Apple App Store Terms

If you downloaded this App from the Apple App Store, the following additional terms apply:

Acknowledgment: You acknowledge that these Terms are concluded between you and Unthinkable SRL only, and not with Apple Inc. ("Apple"). Unthinkable SRL, not Apple, is solely responsible for the App and its content.

Scope of License: Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

Maintenance and Support: Unthinkable SRL is solely responsible for providing any maintenance and support services with respect to the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

Warranty and Refunds: Unthinkable SRL is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Unthinkable SRL's sole responsibility.

Product Claims: You acknowledge that Unthinkable SRL, not Apple, is responsible for addressing any claims of yours or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Rights: You acknowledge that, in the event of any third party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Unthinkable SRL, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third Party Terms: You must comply with applicable third party terms of agreement when using the App.

Third Party Beneficiary: You acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these Terms, and that, upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the App and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

License to Use

Unthinkable SRL grants you a personal, non-transferable, non-exclusive, revocable license to use the IQMeals App for your personal, non-commercial purposes, subject to these Terms.

You may not:

• Modify, disassemble, decompile or reverse engineer the App
• Remove, alter or obscure any proprietary notice or label from the App
• Use the App for any illegal purpose, or in violation of any local, state, national, or international law
• Transfer, sell, license or lease the App to third parties
• Copy or distribute the App or any content without written permission

Intellectual Property

The App and all contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Unthinkable SRL, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The IQMeals name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Unthinkable SRL or its affiliates. You may not use such marks without the prior written permission of Unthinkable SRL.

User Content

Our App may allow you to input and store information about your dietary preferences, health goals, and other personal data ("User Content"). You retain all rights in, and are solely responsible for, the User Content you submit.

By providing User Content, you grant us a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content for the purpose of providing and improving our Services.

You represent and warrant that:

• You own the User Content or have the right to use and share it
• The User Content is accurate and not misleading
• The use of your User Content does not violate these Terms and will not cause injury to any person or entity

App Updates and Changes

We reserve the right to withdraw or amend the App, and any service or material we provide via the App, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the App is unavailable at any time or for any period.

We may update the App from time to time to fix bugs, provide enhanced features, or for other reasons. These updates may be installed automatically depending on your device settings.

Payment Terms

IQMeals may offer both free and paid services. By choosing a paid service, you agree to pay all fees in accordance with the pricing and payment terms presented to you at the time of purchase.

Payments will be processed through third-party payment processors. You agree to provide current, complete, and accurate purchase and account information, and you authorize us to charge your chosen payment method for any paid services.

Subscription services will automatically renew until canceled by you. You may cancel a subscription at any time through your account settings or by contacting us directly.

Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis. Unthinkable SRL expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the App will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that the results that may be obtained from the use of the App will be accurate or reliable.

The information provided through this App is not intended to replace professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or dietary changes.

Limitation of Liability

In no event shall Unthinkable SRL, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content

In any case, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Unthinkable SRL, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution

Any disputes arising out of or related to these Terms or the App shall be resolved through good faith negotiations. If such disputes cannot be resolved through negotiation, they shall be submitted to the competent courts of Romania.

Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or delete your account through the provided functionality within the App or by visiting https://iqmeals.app/request-delete.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.
